OKRP Merged with Barkley

Pre-merger, O’Keefe Reinhard & Paul (OKRP) was well regarded in the industry as a new model, full-service creative advertising agency committed to getting results nobody else gets through a combination of strategy, collaboration, and soul. The agency was also a highly decorated leader in their space, having recently won Ad Age 2023 A-List Agency, 2019 A-List Standout Agency and 2021 Small Agency of the Year, Culture.

When the Evalla team was engaged to represent OKRP, the agency already had multiple interested parties. Through Evalla’s industry relationships, it was able to quickly bring additional potential partners to the table in a timely manner and then negotiate a premium value with several offers. Ultimately, OKRP selected Barkley, where OKRP’s creative capabilities synergistically elevated Barkley’s suite of offerings to create a new entity that leverages the award-winning power of both companies. Evalla then spearheaded the process and negotiations to efficiently drive the process to completion.

Red Tettemer O’Connell + Partners: Acquired by Mod Op

Red Tettemer O’Connell + Partners (RTO+P) is a Philadelphia-based creative powerhouse. With more than two decades of experience, RTO+P is known for creating unforgettable experiences for clients, for its unconventional spirit, and for its award-winning creative work. The agency specializes in brand strategy, brand-shifting creative, social/digital strategy and creation, content production, and influencer & talent Management – creating hundreds of pieces of unique content a month, plus installations, activations and big, bold brand experiences.

Evalla’s team was introduced to RTO+P, pre COVID.  Evalla introduced the Agency to several interested parties but at the time, there was no one who could offer the Agency a partnership that would allow them to grow in the strategic direction they wanted while keeping the strong culture that had been nurtured for over 20 years.  When COVID hit, these discussions were put on hold while the world waited.  In 2023, RTO+P was not looking for a partner, however Evalla presented Mod Op as an agency they had done business with previously and knew well, with the belief this Independent would fit more strategically than previous parties, and therefore would create a more valuable partnership.  This was the case. The strategic acquisition of RTO+P by Mod Op was completed at the end of 2023 and announced in 2024.  A month later, Carla Mote, Managing Partner, said, “The Mod Op culture is actually much closer to ours than I realized and in a good way”.  This is what Evalla defines as success.

Mod op is a full-service digital marketing agency offering services for both B2C and B2B markets that includes strategy and execution for creative, communications, technology, and digital media, as well as other digital marketing services. Prior to the transaction, Mod Op focused primarily on digital services, with a limited emphasis on creative offerings. RTO+P will now serve as the agency’s creative engine, complementing Mod Op’s sophisticated data science, digital services and AI capabilities, and further establishing Mod Op as the marketing agency that merges domains to unlock transformational growth for clients.

Quiverr is a digital agency that provides total ecommerce turnkey solution. Leveraging its years of experience and expertise helping brands navigate the ever-evolving Amazon ecosystem so that brands can actually focus on doing what they do best. Quiverr’s Amazon expertise spans from Amazon Search Engine Optimization (ASEO), brand management, conversion rate optimization and channel management to logistics and product distribution.

The Evalla team met Quiverr years prior to the transaction and instantly fell in love with both the company’s culture and its value proposition to consumer brands. As the relationship developed, we provided guidance in areas we felt would bring the most value to Quiverr during a sell-side process.

When Quiverr was ready to sell, our team conducted a strategic and exhaustive search process to find a buyer who best understood and strategically fit with Quiverr’s growth strategy and culture. Steril-Aire: Acquired by Madison Industries

As COVID-19 made its way around the world, we had the opportunity to engage with Steril-Aire, a fast-growing company that provides a UVC technology that essentially kills the ability for viruses to reproduce. Established over 25 years ago, significant changes were necessary in order to keep up with demand for its product.

An Evalla team member was engaged to help the shareholders capitalize on this opportunity by selling the company, allowing further expansion of this essential product into new markets and enabling increased indoor safety and significant value for shareholders.

With a limited time frame, we did a targeted search for a buyer who understood this sector and the technology. Out of several interested parties, Madison stood apart due to its similar ethical principles, its ability to creatively structure a transaction and the value it placed on this sort of technology. We played a significant role in managing the diligence and negotiation of the documents in order to close the transaction. The entire sales process was under six months.

During the earnout period, we continue to give guidance to the company and are grateful for lasting relationships with all parties.
